Duarte Terms & Conditions of Use

Effective: April 24, 2025

These Terms and Conditions (“Terms”) govern the use of Duarte’s public workshops, on-demand courses, and speaker coaching sessions. By purchasing or using any Duarte product or service, you agree to these Terms. If you do not agree, do not use our services.

Agreement Scope

These Terms apply to:

Public Workshops (in-person and virtual)
On-Demand Courses via Duarte’s LMS (e.g., Docebo)
Speaker Coaching (virtual or otherwise)

These Terms supersede all prior agreements unless otherwise specified in a separate SOW or licensing agreement signed by Duarte.

Permissions & Licensing

2.1 Individual Use License
Unless otherwise licensed, all Duarte content is for personal, professional development only. This includes materials from public workshops, on-demand courses, and speaker coaching. Redistribution, resale, or internal system integration is not permitted.

2.2 Competitor Restriction
Duarte services and materials are not available to competitors of Duarte. Determination of whether an individual or entity qualifies as a “competitor” is made solely at Duarte’s discretion. Duarte reserves the right to deny access or revoke access to its services and materials at any time on this basis. By agreeing to these Terms, you acknowledge and accept this restriction. Unauthorized participation may result in legal action and immediate removal from any active program or course without refund.

2.3 Permission Requests
To request extended use, submit a written inquiry to [email protected], including the nature of use, materials requested, and contact information. Please specify if this is a request from outside the United States. All requests will be reviewed on a case-by-case basis at Duarte’s sole discretion.

2.4 Multi-User Licensing
For enterprise or group licensing, contact [email protected] to arrange formal agreements. Unauthorized sharing or distribution may result in revoked access or legal action.

Product-Specific Terms

3.1 Public Workshops

No refunds once a seat is purchased.
One-time transfer allowed within the same calendar year (new participant or new date).
Contact: [email protected] for changes.

3.2 On-Demand Courses

Access codes must be activated within 30 days of purchase.
Once activated, courses are accessible for 90 days.
Codes and access are non-transferable.

3.3 Speaker Coaching

Sessions must be completed within 6 months.
Sessions may be rescheduled >24 hours before the appointment. <24 hours results in forfeiture.
No refunds after purchase.
Sessions may be recorded unless you opt out at the beginning.

Intellectual Property

All Duarte materials are protected under U.S. and international copyright laws. Clients and users may not:

Reproduce, redistribute, modify, or create derivatives
Integrate content into public or internal-facing platforms

Each user receives a limited, non-exclusive license for personal learning use.

Privacy Policy Reference

Use of Duarte’s site and systems is also subject to our Privacy and Usage Policy, which covers data handling and online behavior.

Limitations of Liability

Duarte’s services are provided “as-is.” Duarte is not responsible for indirect, incidental, or consequential damages. Liability is capped at the amount paid for services.

Governing Law & Dispute Resolution

These Terms are governed by California law. Disputes shall be resolved via arbitration in Santa Clara, CA, in accordance with the American Arbitration Association.
